Idwal Terms of Use

These Terms of Use ("Terms") govern your access to and use of the Idwal platform, website, and services (collectively, the "Platform") where you are not a paying customer of Idwal Marine Services Limited ("Idwal", "we", "us", or "our").

If you purchase services from Idwal or enter into a commercial agreement with us, Idwal's Terms of Service will apply instead of (or in addition to) these Terms.

By accessing or using the Platform, creating an account, uploading any content, or requesting access to any information, you acknowledge that you have read, understood, and agree to be bound by these Terms.

WHO THESE TERMS APPLY TO

1.1               These Terms apply to you if you:

1.1.1         create an account on the Platform;

1.1.2         are invited to upload documents, provide information, or collaborate in connection with an inspection or other service provided by Idwal;

1.1.3         request access to reports or other content on the Platform;

1.1.4         access the Platform via a link from a third-party platform or website; or

1.1.5         otherwise access or use the Platform without being a paying customer of Idwal.

1.2               We recommend that you print or save a copy of these Terms for future reference.

ACCOUNT CREATION AND ACCESS

2.1               You may create an account on the Platform by providing accurate and complete registration information. You are responsible for maintaining the confidentiality of your account credentials and for all activity that occurs under your account.

2.2               Some features of the Platform may be accessible without creating an account, such as when you are provided with a direct link to upload documents or provide information in connection with an inspection.

2.3               You must be at least 18 years old to create an account or use the Platform.

2.4               You are responsible for ensuring that all persons who access the Platform through your account or access links provided to you are aware of and comply with these Terms.

CHANGES TO THE PLATFORM AND THESE TERMS

3.1               We may update, modify, or discontinue the Platform or any part of it at any time, with or without notice to you.

3.2               We may revise these Terms at any time. If we make material changes, we will notify you by posting a notice on the Platform or by other reasonable means. Your continued use of the Platform after any changes constitutes your acceptance of the revised Terms.

3.3               We reserve the right to refuse to provide the Platform or any services to any person at our sole discretion.

ACCEPTABLE USE

4.1               Your use of the Platform is subject to Idwal's Acceptable Use Policy, available at https://www.idwalmarine.com/terms-and-conditions/acceptable-use and incorporated into these Terms by reference. You agree to use the Platform only for lawful purposes and in accordance with these Terms.

4.2               We may monitor your use of the Platform to ensure compliance with the Acceptable Use Policy and applicable laws.

4.3               If you breach the Acceptable Use Policy, we may suspend or terminate your access to the Platform in accordance with Clause 12 (Suspension and Termination).

CONTENT YOU UPLOAD

License to Idwal

5.1               When you upload, submit, or otherwise provide any documents, certificates, photographs, comments, information, or other content to the Platform ("User Content"), you grant Idwal a worldwide, non-exclusive, royalty-free, perpetual, and irrevocable license to:

5.1.1           use, store, copy, reproduce, modify, and display the User Content for the purpose of providing inspection services, reports, and other services;

5.1.2           incorporate the User Content into reports, documentation, and other materials provided to Idwal's customers;

5.1.3           use the User Content to create derived data, market data, analytical products, and other services; and

5.1.4           retain the User Content for Idwal's business records, legal compliance, and operational purposes.  

Your Warranties

5.2               By uploading or providing User Content, you represent and warrant that:

5.2.1           you own the User Content or have obtained all necessary rights, permissions, and consents to provide the User Content to Idwal and to grant the license set out in Clause 5.1;

5.2.2           the User Content does not infringe any third party's intellectual property rights, privacy rights, or other rights;

5.2.3           the User Content is accurate, complete, and not misleading;

5.2.4           the User Content does not contain any viruses, malware, or other harmful code; and

5.2.5           you have complied with all applicable laws and regulations in providing the User Content, including data protection laws.  

Idwal’s right to remove User Content

5.3               We reserve the right to remove, modify, or refuse to accept any User Content at any time, for any reason, without notice to you. We have no obligation to monitor or review User Content but may do so at our discretion.

Responsibility for User Content

5.4               You are solely responsible for the User Content you provide. Idwal does not endorse, verify, or take responsibility for the accuracy, completeness, or quality of User Content provided by you or other users

PROHIBITED USE FOR AI AND MACHINE LEARNING

6.1               Unless explicitly agreed in writing by Idwal, you shall not use the Platform or any content on the Platform (including User Content provided by others) in whole or in part (including in anonymized form) in connection with any machine learning or artificial intelligence purposes, including but not limited to:

6.1.1         training, influencing, or optimising any artificial intelligence or machine learning tools;

6.1.2         developing a substitute for or competitive service to the Platform or Idwal's services;

6.1.3         training any large language model; or

6.1.4         research purposes involving artificial intelligence or machine learning.

6.2               If Idwal permits you in writing to use the Platform or any content for machine learning or artificial intelligence purposes, Idwal shall retain all intellectual property rights in any output, algorithms, models, or other results generated from such use.

INTELLECTUAL PROPERTY

7.1               The Platform, including all software, designs, text, graphics, logos, and other content (excluding User Content), is owned by Idwal or its licensors and is protected by intellectual property laws. All intellectual property rights in the Platform remain the property of Idwal or its licensors.

7.2               "Idwal", the Idwal logo, and other Idwal trademarks and service marks are the property of Idwal. You may not use these marks without Idwal's prior written consent.

7.3               Nothing in these Terms grants you any intellectual property rights in the Platform or Idwal's content, except for the limited right to access and use the Platform in accordance with these Terms.

THIRD-PARTY LINKS AND INTEGRATIONS

8.1               The Platform may provide links to third-party websites or resources, or integrate information from other third-party sources. Since we do not control such websites and resources, you acknowledge and agree that we are not responsible or liable for the content, products, or performance of such third-party websites and resources.

8.2               We reserve the right to terminate any link at any time without notice. The inclusion of a link to another website or resource does not constitute or imply an endorsement, authorization, sponsorship, or affiliation by Idwal of that website or resource.

8.3               The information practices of third-party websites are not covered by these Terms or any policies applicable to the Platform. We recommend that you review the terms of use and privacy policy of any linked third-party website.

8.4               You hereby irrevocably waive any claim against Idwal with respect to third-party websites and resources accessed through the Platform.

DISCLAIMERS AND NO RELIANCE

Platform provided “As Is”

9.1               THE PLATFORM AND ALL CONTENT ON THE PLATFORM (INCLUDING USER CONTENT AND REPORTS) ARE PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTY OF ANY KIND, WHETHER EXPRESS OR IMPLIED. TO THE FULLEST EXTENT PERMITTED BY LAW, IDWAL DISCLAIMS ALL WARRANTIES, INCLUDING:

9.1.1           warranties of merchantability, fitness for a particular purpose, and non-infringement;

9.1.2           warranties that the Platform will be uninterrupted, secure, error-free, or virus-free;

9.1.3           warranties regarding the accuracy, completeness, or reliability of any content, data, or information on the Platform; and

9.1.4           any warranties arising from course of dealing, course of performance, or usage of trade.  

No guarantee of availability

9.2               We will endeavour to make the Platform available but cannot guarantee that the Platform will operate continuously or without interruptions. We will not be liable for any loss or damage on account of unavailability, interruptions, errors, or viruses.

Security and Viruses

9.3               We do not guarantee that the Platform will be secure or free from bugs or viruses. You are responsible for configuring your information technology, computer programs, and platform to access the Platform, and you should use your own virus protection software.

No reliance on User Content

9.4               You acknowledge and agree that:

9.4.1           User Content provided by other users may be inaccurate, incomplete, misleading, or fraudulent;

9.4.2           Idwal does not verify, endorse, or take responsibility for User Content provided by other users;

9.4.3           you should not rely on User Content provided by other users for any critical purpose without independent verification; and

9.4.4           Idwal is not liable for any loss or damage arising from your reliance on User Content provided by other users.  

No reliance on reports of information

9.5               Reports and other information made available on the Platform are provided for informational purposes only. You agree that we will not be liable to you or any third party for any trading, investment, commercial, or other decisions made in reliance on any content on the Platform.

9.6               You should not rely on any report or information on the Platform for any critical decision (including purchasing, selling, insuring, or operating any vessel) without:

9.6.1           entering into a direct commercial relationship with Idwal;

9.6.2           obtaining independent professional advice; and

9.6.3           conducting your own due diligence and verification.

LIMITATION OF LIABILITY

Exclusions

10.1            Nothing in these Terms excludes or limits Idwal's liability for:

10.1.1        death or personal injury caused by Idwal's negligence;

10.1.2        fraud or fraudulent misrepresentation; or;

10.1.3        any matter for which it would be illegal for Idwal to exclude or limit its liability.  

No liability for consequential losses

10.2            TO THE FULLEST EXTENT PERMITTED BY LAW, IDWAL SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR ANY LOSS OF PROFITS, REVENUE, DATA, OR BUSINESS OPPORTUNITIES, ARISING FROM OR RELATED TO:

10.2.1        your use of or inability to use the Platform;

10.2.2        any User Content provided by you or other users;

10.2.3        any reports or information accessed through the Platform;

10.2.4        any unauthorized access to or use of the Platform or your account;

10.2.5        any interruption or cessation of the Platform;

10.2.6        any bugs, viruses, or other harmful code that may be transmitted through the Platform;

10.2.7        any loss or damage caused by a distributed denial-of-service attack or other technologically harmful material; or

10.2.8        any errors or omissions in any content, or any loss or damage incurred as a result of the use of any content posted, emailed, transmitted, or otherwise made available through the Platform.

Cap of liability

10.3            TO THE FULLEST EXTENT PERMITTED BY LAW, IDWAL'S TOTAL LIABILITY ARISING FROM OR RELATED TO THESE TERMS OR YOUR USE OF THE PLATFORM SHALL NOT EXCEED $100.

Your indemnity

10.4            You agree to indemnify, defend, and hold harmless Idwal and its officers, directors, employees, agents, and affiliates from and against any claims, liabilities, damages, losses, costs, and expenses (including reasonable legal fees and enforcement costs) arising from or related to:

10.4.1        your breach of these Terms;

10.4.2        your violation of any law or regulation;

10.4.3        your violation of any third-party rights, including intellectual property rights or privacy rights;

10.4.4        any User Content you provide; or

10.4.5        your use of the Platform.

PRIVACY AND DATA PROTECTION

11.1            Idwal collects, uses, and processes personal data in accordance with applicable data protection laws and Idwal's Privacy Policy, available at https://www.idwalmarine.com/terms-and-conditions/privacy-policy.

11.2            By using the Platform, you consent to Idwal's collection and use of your personal data as described in the Privacy Policy.

11.3            If you upload User Content that contains personal data about third parties (such as crew manifests, contact details, or other personal information), you represent and warrant that:

11.3.1        you have obtained all necessary consents and authorizations to provide such personal data to Idwal; and

11.3.2        you have complied with all applicable data protection laws in providing such personal data.

SUSPENSION AND TERMINATION

12.1            You may stop using the Platform at any time by deleting your account (if applicable) or simply ceasing to access the Platform.

12.2            Idwal may suspend or terminate your access to the Platform at any time, with or without cause, and with or without notice. Without limiting the generality of the foregoing, we may suspend or terminate your access if:

12.2.1        you breach these Terms;

12.2.2        we are required to do so by law or regulatory authority;

12.2.3        we reasonably believe that your use of the Platform poses a security or liability risk to Idwal or other users; or

12.2.4        you engage in conduct that we reasonably determine to be abusive, fraudulent, or otherwise inappropriate.

12.3            Upon suspension or termination:

12.3.1        your right to access and use the Platform will immediately cease;

12.3.2        Idwal may delete your account and any User Content associated with your account; and

12.3.3        the provisions of these Terms that by their nature should survive termination (including Clauses 5.1, 6, 7, 9, 10, 11, and 13-17) will continue to apply.

12.4            Idwal may retain User Content you have provided for Idwal's business records, legal compliance, and to fulfil the license granted in Clause 5.1.

BECOMING A CUSTOMER

13.1            If you wish to purchase services from Idwal (such as commissioning an inspection, subscribing to the Platform, or purchasing access to reports), you will need to enter into a commercial agreement with Idwal.

13.2            Commercial relationships with Idwal are governed by Idwal's Terms of Service https://www.idwalmarine.com/terms-and-conditions/terms-of-service and any applicable service orders or agreements, rather than these Terms.

13.3            If you become a customer of Idwal, Idwal's Terms of Service will apply to your commercial relationship with Idwal, but these Terms will continue to apply to any non-commercial use of the Platform.

DISPUTE RESOLUTION

14.1            If you have any problems or disputes with Idwal or the Platform, please contact our Support Team at support@idwalmarine.com as a first step. Our team will do their best to resolve any issues.

14.2            If you are not satisfied with our response, you may consider alternative dispute resolution, where an independent body considers the facts of a dispute and seeks to resolve it, without you having to go to court.

14.3            If you are not satisfied with the outcome of alternative dispute resolution, you may still bring legal proceedings in accordance with Clause 15.

GOVERNING LAW AND JURISDICTION

15.1            These Terms, and any dispute or claim arising out of or in connection with them or their subject matter or formation (including non-contractual disputes or claims), will be governed by and construed in accordance with the laws of England and Wales.

15.2            Each party irrevocably agrees that the courts of England and Wales will have exclusive jurisdiction to settle any dispute or claim arising out of or in connection with these Terms or their subject matter or formation (including non-contractual disputes or claims).

GENERAL PROVISIONS

Entire agreement

16.1            These Terms constitute the entire agreement between you and Idwal regarding your non-commercial use of the Platform and supersede any prior agreements or understandings.

Severability

16.2            If any provision of these Terms is found to be invalid, illegal, or unenforceable, it shall be deemed modified to the minimum extent necessary to make it valid, legal, and enforceable. If such modification is not possible, the relevant provision shall be deemed deleted.

Waiver

16.3            A waiver of any right or remedy under these Terms or by law is only effective if given in writing and shall not be deemed a waiver of any subsequent right or remedy. Idwal's failure or delay in exercising any right or remedy provided under these Terms or by law shall not constitute a waiver of that or any other right or remedy.

Assignment

16.4            You may not assign or transfer your rights or obligations under these Terms without Idwal's prior written consent. Idwal may assign or transfer its rights and obligations under these Terms without restriction.

Force Majeure

16.5            Neither party shall be in breach of these Terms or otherwise liable for any failure or delay in the performance of its obligations (excluding payment obligations) if such delay or failure results from events, circumstances, or causes beyond its reasonable control. The time for performance of such obligations shall be extended accordingly.

No Third-Party Beneficiaries

16.6            These Terms do not give rise to any rights under the Contracts (Rights of Third Parties) Act 1999 for third parties to enforce any term of these Terms.

Notices

16.7            Idwal may provide notices to you by posting them on the Platform or by sending them to the email address associated with your account (if applicable). You accept that email and Platform notifications are adequate notice.
