Idwal Acceptable Use Policy

This Acceptable Use Policy applies to all users of the Idwal platform, whether you are a paying customer of Idwal Marine Services Limited ("Idwal", "we", "us", or "our") or using the platform in another capacity (such as uploading documents, collaborating on inspections, or requesting access to information).
This Acceptable Use Policy is incorporated by reference into:
- Idwal's Terms of Service (for paying customers); and
- Idwal's Terms of Use (for non-customer users).
Your use of the platform must comply with this policy at all times.
USER ACCOUNTS AND SECURITY
Password Security
1.1 If you have been provided with login credentials to access the platform:
1.1.1 you must keep your password secure and confidential;
1.1.2 you must not share your password with any other person;
1.1.3 you must use a strong, unique password;
1.1.4 you must notify Idwal immediately if you become aware of any unauthorized use of your password or account; and
1.1.5 you are responsible for all activity that occurs under your account.
Authorised User Management (Customers Only)
1.2 If you are a customer of Idwal with a commercial agreement, you must manage access for individuals authorized to use the platform under your account ("authorised users"):
1.2.1 you must maintain a written, up-to-date list of all authorized usera;
1.2.2 you must provide this list to Idwal within five (5) business days of Idwal's written request;
1.2.3 you must ensure that each authorised user complies with this Acceptable Use Policy and the applicable Terms of Service;
1.2.4 you must promptly remove access for any individual who is no longer an authorised user; and
1.2.5 you must not provide login credentials or access to any individual who is not an authorised user.
Audit Rights (Customers Only)
1.3 If you are a customer of Idwal with a commercial agreement:
1.3.1 Idwal (or Idwal's designated auditor) may audit:
(a) the name and login credentials of each authorised user;
(b) your data processing facilities; and
(c) your compliance with your Terms of Service and this Acceptable Use Policy;
1.3.2 such audits may be conducted no more than once per calendar quarter;
1.3.3 audits will be conducted at Idwal's expense;
1.3.4 audits will be conducted with reasonable prior notice and in a manner that does not substantially interfere with your normal business operations; and
1.3.5 if any audit reveals that login credentials have been provided to an individual who is not an authorised user, then without prejudice to Idwal's other rights:
(a) you must immediately disable such credentials; and
(b) Idwal may refuse to issue new credentials to that individual.
PROHIBITED CONTENT
2.1 You must not access, store, distribute, or transmit through the platform any content, material, or data that:
2.1.1 is unlawful, harmful, threatening, defamatory, obscene, infringing, discriminatory, harassing, or racially or ethnically offensive;
2.1.2 facilitates illegal activity or promotes, encourages, or facilitates criminal acts;
2.1.3 infringes any patent, trademark, trade secret, copyright, or other intellectual property or proprietary rights of any party;
2.1.4 violates the privacy rights of any person or contains personal data about individuals without appropriate consents and legal basis;
2.1.5 contains viruses, malware, ransomware, trojan horses, worms, or other malicious code or harmful components;
2.1.6 is false, inaccurate, or misleading, including false evidence of repairs, false certifications, or fraudulent documents; or
2.1.7 is otherwise illegal or causes damage or injury to any person or property.
2.2 Idwal reserves the right, without liability and without prejudice to its other rights, to remove, refuse to accept, or disable access to any content that breaches this policy.
PROHIBITED ACTIVITIES
Unauthorized Access and Interference
3.1 You must not:
3.1.1 attempt to gain unauthorized access to any portion of the platform, other user accounts, computer systems, or networks connected to the platform;
3.1.2 interfere with or disrupt the platform, servers, or networks connected to the platform;
3.1.3 circumvent, disable, or otherwise interfere with security-related features of the platform;
3.1.4 attempt to probe, scan, or test the vulnerability of the platform or any network connected to the platform;
3.1.5 breach or otherwise circumvent any authentication or security measures; or
3.1.6 introduce or permit the introduction of any virus, malware, or other harmful code into Idwal's network and information systems.
Scraping and Automated Access
3.2 You must not:
3.2.1 use any automated means (including bots, scrapers, crawlers, or similar data gathering or extraction tools) to access the platform or collect data from the platform without Idwal's prior written consent;
3.2.2 use the platform in any way that could damage, disable, overburden, or impair the platform; or
3.2.3 attempt to collect information about other users without their consent.
Misuse of Platform and Content
3.3 You must not:
3.3.1 except as may be allowed by any applicable law which is incapable of exclusion by agreement, and except to the extent expressly permitted in your Terms of Service or Terms of Use:
(a) tempt to copy, modify, duplicate, create derivative works from, frame, mirror, republish, download, display, transmit, or distribute all or any portion of the platform, software, or documentation in any form or by any means; or
(b) attempt to decompile, reverse compile, disassemble, reverse engineer, or otherwise reduce to human-perceivable form all or any part of the platform or software;
3.3.2 access all or any part of the platform or content in order to build a product or service which competes with Idwal's platform or services;
3.3.3 use the platform or content to provide services to third parties without Idwal's prior written consent;
3.3.4 license, sell, rent, lease, transfer, assign, distribute, display, disclose, or otherwise commercially exploit the platform or content, except as expressly permitted;
3.3.5 attempt to obtain, or assist third parties in obtaining, unauthorized access to the platform or content; or
3.3.6 remove, obscure, or alter any proprietary notices, labels, or marks on or in the platform or content.
Artificial Intelligence and Machine Learning
3.4 Unless explicitly agreed in writing by Idwal, you must not use the platform or any content on the platform (including content uploaded by other users) in whole or in part (including in anonymized form) in connection with any machine learning or artificial intelligence purposes, including but not limited to:
3.4.1 training, influencing, or optimizing any artificial intelligence or machine learning tools;
3.4.2 developing a substitute for or competitive service to the platform or Idwal's services;
3.4.3 training any large language model; or
3.4.4 research purposes involving artificial intelligence or machine learning.
Impersonation and Misrepresentation
3.5 You must not:
3.5.1 impersonate any person or entity, or falsely state or otherwise misrepresent your affiliation with any person or entity;
3.5.2 misrepresent the source, origin, or ownership of any content you upload or provide; or
3.5.3 use another user's account without permission.
USER OBLIGATIONS
Preventing Unauthorized Access
4.1 You must:
4.1.1 use reasonable endeavors to prevent any unauthorized access to, or use of, the platform; and
4.1.2 promptly notify Idwal if you become aware of any unauthorized access, security breach, or violation of this policy.
Accuracy of Information
4.2 If you upload or provide any content to the platform (including documents, certificates, photographs, comments, or other information):
4.2.1 you must ensure that all content is accurate, complete, and not misleading;
4.2.2 you must not upload false evidence, fraudulent documents, or deliberately misleading information;
4.2.3 you must have all necessary rights, permissions, and consents to provide such content to Idwal; and
4.2.4 you must comply with all applicable laws, including data protection laws.
Compliance with Laws
4.3 You must comply with all applicable laws and regulations in your use of the platform, including but not limited to:
4.3.1 data protection and privacy laws;
4.3.2 intellectual property laws;
4.3.3 export control and sanctions laws; and
4.3.4 laws relating to computer misuse and cybercrime.
MONITORING AND ENFORCEMENT
Monitoring
5.1 Idwal may monitor use of the platform to:
5.1.1 ensure compliance with this Acceptable Use Policy;
5.1.2 ensure compliance with applicable Terms of Service or Terms of Use;
5.1.3 investigate suspected violations or security incidents;
5.1.4 comply with legal obligations; or
5.1.5 protect Idwal's rights, property, or safety, or the rights, property, or safety of other users.
Enforcement
5.2 If Idwal determines that you have violated this Acceptable Use Policy, Idwal may, in its sole discretion and without prejudice to any other rights or remedies:
5.2.1 issue a warning;
5.2.2 temporarily suspend your access to the platform;
5.2.3 permanently terminate your access to the platform;
5.2.4 remove, disable, or refuse to accept any content you have uploaded;
5.2.5 disable login credentials that have been misused;
5.2.6 report the violation to relevant law enforcement or regulatory authorities; and/or
5.2.7 pursue any other legal remedies available, including seeking damages or injunctive relief.
No Obligation to Monitor
5.3 While Idwal reserves the right to monitor use of the platform, Idwal has no obligation to monitor content or user activity and is not responsible for content uploaded by users.
REPORTING VIOLATIONS
6.1 If you become aware of any violation of this Acceptable Use Policy by another user, or if you become aware of any security vulnerability or breach, please report it to Idwal immediately at support@idwalmarine.com.
CHANGES TO THIS POLICY
7.1 Idwal may update this Acceptable Use Policy at any time. If Idwal makes material changes to this policy, Idwal will notify affected users byposting a notice on the platform or by other reasonable means. Your continued use of the platform after any changes constitutes your acceptance of the revised policy
7.2 For customers with commercial agreements: If any change to this policy is unacceptable to you, your sole remedy is to terminate your agreement in accordance with its terms.
GOVERNING LAW AND JURISDICTION
8.1 This Acceptable Use Policy is governed by the laws of England and Wales and is subject to the jurisdiction provisions set out in your applicable Terms of Service or Terms of Use.
